1) Acceptance of Terms

By accessing or using any products, services, or the website of IT WIZ INFOTECH ("we", "us", "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please discontinue use.

2) Services & Scope

• We provide digital services including (but not limited to) web/app development, design, branding, AI/automation, hosting support, and marketing services.
• Specific deliverables, timelines, and commercials are defined in the Quotation / Statement of Work (SOW) for each project.
• Third-party subscriptions (domains, hosting, APIs, ad credits, gateways, etc.) are billed separately as applicable.

3) User Responsibilities

• Provide accurate information, timely feedback, and approvals to avoid delays.
• Ensure that any content, data, or materials shared with us are lawful and do not infringe third-party rights.
• Keep credentials provided by us confidential and notify us of any unauthorized access.

4) Intellectual Property

• Unless otherwise agreed in writing, upon full and final payment you receive rights to use the final deliverables as defined in the SOW.
• Pre-existing tools, frameworks, prompts, scripts, and libraries used in delivering the service remain our property or that of their respective owners.
• Our name, logo, and brand assets may not be used without prior written consent.

5) Pricing, Billing & Payments

All pricing and billing shall follow the SOW/Quotation and our Terms of Payment. Prices are exclusive of taxes unless stated. International transfers must cover bank/gateway charges so that our bank receives the full invoice value.

6) Cancellations & Refunds

• Advance/booking fees are non-refundable once work has commenced.
• Cancellations mid-project will be billed for completed phases and any non-recoverable third-party costs.
• No refunds on custom work, paid media spends, domain/hosting, or third-party subscriptions once provisioned.

7) Content & Acceptable Use

• You agree not to use our services/outputs for unlawful, harmful, deceptive, defamatory, harassing, hateful, or infringing activities.
• We may suspend or terminate services if activity violates these Terms or applicable law.

8) Privacy & Data

Your information is handled as described in our Privacy Policy (if available). You are responsible for complying with applicable data protection laws in your use of our services.

9) Third-Party Tools & Links

We may integrate third-party services (e.g., analytics, gateways, APIs). We are not responsible for third-party content, availability, or practices. Your use of such tools is subject to their terms.

10) Warranties Disclaimer

Services are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied (including merchantability, fitness for a particular purpose, and non-infringement). We do not warrant uninterrupted or error-free operation.

11) Limitation of Liability

To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, revenue, data, or business opportunities. Our aggregate liability for any claim shall not exceed the total fees paid to us for the specific service giving rise to the claim in the preceding three (3) months.

12) Indemnification

You agree to indemnify and hold harmless IT WIZ INFOTECH and its personnel from any claims, damages, liabilities, and expenses arising from your content, misuse of the services, or breach of these Terms.

13) Force Majeure

We shall not be liable for delays or failure to perform due to causes beyond reasonable control, including but not limited to acts of God, natural disasters, internet/hosting outages, cyber incidents, war, strikes, or government actions.

14) Changes to Terms

We may update these Terms from time to time. The “Last updated” date will change accordingly. Continued use after changes constitutes acceptance.

15) Termination

Either party may terminate a project as per the SOW. We may suspend/terminate access for violations of these Terms or non-payment.

16) Governing Law & Jurisdiction

These Terms are governed by the laws of India. Courts located in Kolkata shall have exclusive jurisdiction. (Replace placeholder with your city/state.)

17) Notices

Official notices may be sent to info@itwiz.in or any email specified in your SOW/Quotation. Client notices should be sent to the email provided in the SOW.

18) Severability & Waiver

If any part of these Terms is held invalid, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later.

19) Entire Agreement

These Terms together with the SOW/Quotation and any referenced policies constitute the entire agreement between you and IT WIZ INFOTECH regarding the subject matter and supersede prior understandings.
